PartnerStandard Council – Terms of Service

IMPORTANT – READ CAREFULLY: These Terms of Service (the “Agreement”) form a binding contract between (i) you (“User”, “you”, or “your”) and (ii) Bernhard Friedrichs, a sole proprietor (autónomo) registered in Spain with tax ID ESX7526216H and business address at C/ Cronista Carreres 10, 46003, València (“PartnerStandard Council”, “we”, “us”, or “our”). By creating an account, accepting an invitation, or otherwise accessing or using the Council platform, you agree to be bound by this Agreement. If you do not agree, do not use the Services.

NOTICE REGARDING BINDING NATURE OF THESE TERMS | INVITATION-ONLY PLATFORM

1. Definitions

“Council” means the PartnerStandard Council platform for collaborative standards development.

“Services” means the Council platform and related services that we make available to approved members.

“Contributions” means any definitions, votes, articles, or other content submitted to the Council by members.

“Standards” means the verified definitions and standards published through the Council.

“Member” means an approved user with access to the Council platform.

2. Access and Membership

2.1 Invitation Required. Access to the Council is by invitation only. Invitations may be issued by existing members or administrators, subject to approval.

2.2 Account Creation. Upon receiving an invitation, you must complete your profile with accurate information to activate your membership.

2.3 Expert Status. Members designated as experts may contribute definitions, vote on prompts, and participate in collaborative standards development.

2.4 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3. Member Obligations and Conduct

3.1 Professional Standards. Members must maintain professional conduct and contribute constructively to standards development.

3.2 Accuracy. Contributions must be accurate, based on professional expertise, and not misleading.

3.3 Confidentiality. Members must respect the confidential nature of unpublished discussions and draft standards.

3.4 Prohibited Activities. Members shall not (a) submit false or misleading information; (b) violate any applicable laws or regulations; (c) infringe on intellectual property rights; (d) engage in any form of harassment or discrimination; or (e) attempt to manipulate voting or contribution processes.

4. Contributions and Intellectual Property

4.1 License Grant. By submitting Contributions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, publish, and distribute your Contributions as part of Standards.

4.2 Attribution. Published Standards will credit contributing members where applicable.

4.3 Representations. You represent that your Contributions are original, do not infringe third-party rights, and you have the right to grant the license in section 4.1.

4.4 Platform Ownership. We retain all rights to the Council platform, its design, functionality, and underlying technology.

5. Voting and Standards Development

5.1 Voting Rights. Expert members may vote on prompts and contribute to standards development as designated by administrators.

5.2 Fair Process. Voting must be based on professional judgment. Any attempt to manipulate or coordinate votes improperly may result in suspension.

5.3 Publication. Final standards are published at the discretion of administrators based on member contributions and voting results.

6. Privacy and Data Protection

6.1 Privacy Policy. Our collection and use of personal data is governed by our Privacy Policy.

6.2 Member Directory. Your name and professional affiliation may be visible to other members within the platform.

6.3 Published Attribution. Your name may appear as a contributor on published standards if your contributions are included.

7. Gamification and Recognition

7.1 Achievement System. The Council includes badges and recognition for member contributions and participation.

7.2 Statistics. Member statistics and achievements are tracked and may be displayed within the platform.

7.3 No Monetary Value. Badges, points, and achievements have no monetary value and cannot be transferred or exchanged.

8. Suspension and Termination

8.1 Suspension. We may suspend or terminate access for violations of this Agreement, inappropriate conduct, or at our discretion.

8.2 Voluntary Termination. Members may request account deletion at any time. Past contributions will remain part of published standards.

8.3 Effect of Termination. Upon termination, access to the Council ceases immediately. Published standards including your contributions remain licensed to us.

9. Modifications to Service

9.1 Service Changes. We may modify, suspend, or discontinue any aspect of the Council at any time.

9.2 Terms Updates. We may update these Terms with notice to members. Continued use after updates constitutes acceptance.

10. Indemnification

10.1 By Member. You agree to indemnify and hold us harmless from claims arising from your Contributions, conduct, or violation of these Terms.

11. Warranties and Disclaimers

11.1 Service Provided “As Is”. The Council is provided “as is” without warranties of any kind, express or implied.

11.2 No Guarantee. We do not guarantee continuous, uninterrupted, or secure access to the Council.

11.3 Standards Disclaimer. Published standards are based on member contributions and voting. We do not warrant their accuracy or suitability for any particular purpose.

12. Limitation of Liability

12.1 Exclusion of Damages. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

12.2 Maximum Liability. Our total liability shall not exceed €100 or the amount you paid us in the past twelve months, whichever is greater.

12.3 Exceptions. Nothing limits liability for death, personal injury, or fraud, or any liability that cannot be limited by law.

13. Dispute Resolution

13.1 Informal Resolution. Before formal proceedings, parties agree to attempt resolution through good faith negotiation.

13.2 Time Limit. Claims must be brought within one year of when the claim arose.

14. Third-Party Integration

14.1 Notion Publishing. Standards may be published to Notion or other third-party platforms. Such platforms are governed by their own terms.

14.2 No Endorsement. References to third parties do not constitute endorsement.

15. Governing Law and Jurisdiction

15.1 Governing Law. This Agreement is governed by Spanish law.

15.2 Jurisdiction. The parties submit to the exclusive jurisdiction of the courts of València, Spain.

16. General Provisions

16.1 Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Council.

16.2 Severability. If any provision is unenforceable, the remaining provisions continue in effect.

16.3 Assignment. You may not assign your rights under these Terms. We may assign our rights to any successor.

16.4 Waiver. No waiver is effective unless in writing and signed by the waiving party.
